Background

Coup Collaboration Agreement sets out the terms and conditions between Coup as the Contractor and the service provider, and the Client as the recipient of our services (individually the 'Party' and collectively the 'Parties' to this Agreement).

For us, every single project we do is an investment for the business. Every one of Coup's Clients is carefully selected and meets a strict set of criteria. This criteria includes marketability, culture, market capitalisation and approach to ESG. To emphasize the importance of our operations and promote smooth sailing, we created the Coup Collaboration Agreement.

Coup Collaboration Agreement is legally binding. It sets out the terms of the engagement between the service provider and the recipient, as well as covers each party's rights and obligations. If the Collaboration Agreement is not performed under the agreed terms and conditions, it will be likely the agreement is breached.

Services Provided

By working with the Contractor, the Client agrees to have their website be a part of The Coup Network. The Coup Network is a conglomerate of websites which collate data for Market Intelligence and news flow.

​

When the Contractor provides Website Development service to the Client, Coup logo will appear on the website. Coup logo on a website or application means that it has been meticulously designed and managed by the Contractor. Coup's brands are carefully collated and aesthetics/technology have been thoroughly researched to ensure maximum impact and marketability.

Term of Agreement

The term of this Agreement will begin on the date this Agreement is signed and a deposit payment is mad by the Client to the Contractor. The Agreement will remain in full force and effect indefinitely until terminated as provided in this Agreement.

In the event that either Party wishes to terminate this Agreement, the Party will be required to provide a written notice to the other Party. 

​

In the event that the Client breaches a clause under this Agreement, the Contractor may terminate this Agreement immediately and remove the Coup logo from the Client's website and related internal documents. Except as otherwise provided in this Agreement, the obligations of the Contractor will end upon termination of this Agreement.

Performance

The Parties agree to do everything necessary to ensure that the terms of this Agreement take effect.

Payment

A deposit is payable by the Client upon execution of this Agreement. Invoices submitted by the contractor to the Client are due upon receipt.

​

Upon provision of full access to the services (website and other) to the Client, in the case of errors made by the Client, the Contractor will fix the errors at a flat rate of $155/hour.

​

In the event that the Agreement is terminated, the ongoing costs regarding the service provision will be transferred from the Contractor to the Client.

Autonomy

Except as otherwise provided in this Agreement, the Contractor will have full control over working time, methods, and decision making in relation to the provision of services in accordance with the Agreement. The Contractor will work autonomously and will only receive direction of the Client at the agreement of both Parties. The Contractor will be responsive to the reasonable needs and concerns of the Client.

Third Party Involvement

If agreed by the Client and the Contractor, a third party intermediary may be involved to aid with the communication between the Parties. 

​

In the event that the Client involves a third party intermediary:

- there must remain regular and transparent communication between the Contractor and the Client. 

- if the thirds party intermediary does not benefit the communication between the Contractor and the Client, the Contractor has a right to contact the Client without the involvement of the third party indefinitely.

Approval of Services

In the case that the Client appoints a different representative for the communication between the Parties, the Contractor must be informed of the change of representative immediately. The newly appointed representative will respect the services conducted by the Contractor in the past and will preserve the value of the brand established through the collaboration between the Contractor and the Client.

By signing the form below, you (the Client) agree to and acknowledge that you have read and accepted the terms and conditions of the Collaboration Agreement.
